1. Introduction
1.1 These Terms of Service, along with any agreed contract, quotation, or order confirmation, constitute a binding agreement between Nahid Shahriar Pour Photography (“We,” “Our,” “Us”) and the client (“You,” “Your”).
1.2 These terms apply exclusively and override any other conditions proposed by You unless agreed upon in writing and signed by both parties.
2. Definitions
For the purposes of this agreement:
• “Client Content” – Any material, product, or third-party services provided by You for inclusion in the photography.
• “Fees” – The agreed charges for services, including but not limited to photography, editing, and image licensing.
• “Quotation” or “Total Fee Estimate” – The estimated cost of services provided before final confirmation.
• “Shoot Date” – The confirmed date for the photography session.
• “Delivery Date” – The date when the final images will be provided.
• “Photography Services” – The act of producing images as requested by You.
• “Retouching & Post-Production” – Professional image editing, colour correction, and enhancements.
• “Service(s)” – All photography-related services including product photography, fashion photography, commercial photography, portrait photography, and editorial photography.
3. Booking & Confirmation
3.1 To confirm a booking, You must accept the proposal and make the initial deposit payment (if applicable).
3.2 We will ensure the final images align with the agreed creative direction and maintain high-quality standards.
3.3 Once the project scope is confirmed in writing (email or signed contract), it is considered final, and any requested changes may incur additional charges.
3.4 If You require any specific creative direction, references, or guidelines, these must be provided at least 48 hours before the shoot date.
3.5 Deposit Policy:
• A non-refundable deposit is required for all ad-hoc services.
• For photography sessions, the deposit covers potential losses in case of cancellation or rescheduling.
• If rescheduling is needed, We will retain the deposit as long as a new date can be arranged.
3.6 Client Responsibility:
• Ensure all necessary approvals, products, and props are available before the shoot.
• Cooperate in good faith and respond promptly to inquiries or approvals.
4. Payment Terms
4.1 All invoices must be settled within 30 days of the invoice date, unless otherwise agreed.
4.2 Late payments will incur an 8% annual interest charge above the Bank of England’s base rate.
4.3 If payment is not received, We reserve the right to suspend services and withhold image delivery.
4.4 Payments should be made via BACS, bank transfer, or other agreed methods.
5. Image Delivery & Quality Control
5.1 Delivery Format:
• Final images will be delivered via online transfer, private gallery, or download link.
• High-resolution and web-optimized versions will be provided as per agreement.
5.2 Client Review & Acceptance:
• You must review the delivered images within 5 business days and notify Us of any concerns.
• If no issues are reported within this period, the images are considered accepted and final.
5.3 Reshoots & Modifications:
• Reshoots are only permitted if the images fail to meet agreed technical standards.
• Reshoots due to a change in creative direction or subjective preferences may incur additional fees.
6. Cancellations & Rescheduling
6.1 If You need to cancel or reschedule, the following applies:
• More than 48 hours before the shoot – No additional charge (deposit retained for rescheduling).
• Between 24 and 48 hours before the shoot – 50% of total fee payable.
• Less than 24 hours before the shoot or no-show – 100% of total fee payable.
6.2 If external suppliers (e.g. models, stylists, studios) are involved, any cancellation fees from third parties will be passed on to You.
6.3 We reserve the right to cancel services due to unforeseen circumstances, illness, or emergencies, in which case a full refund or rescheduled date will be provided.
7. Copyright & Licensing
7.1 Ownership & Usage Rights:
• Nahid Shahriar Pour Photography retains full copyright over all images.
• A license to use the images will be granted based on the agreed usage rights.
7.2 Permitted Usage:
• You may use the images for marketing, advertising, and digital platforms as per the agreed license.
• You may not resell, edit, or transfer the images without written permission.
7.3 Exclusive Licensing:
• If You require exclusive rights to the images, an additional licensing fee will apply.
7.4 Photographer’s Right to Use Images:
• We reserve the right to use the images for portfolio, promotional, and marketing purposes unless explicitly restricted in writing.
8. Liability & Disclaimer
8.1 We are not liable for:
• Loss or damage due to technical issues, equipment failure, or environmental conditions.
• Differences in colour due to screen variations or third-party printing.
• Any delays caused by unforeseen events beyond our control.
8.2 Once the final images are delivered, We are not responsible for lost, deleted, or corrupted files. Clients are encouraged to back up all received files.
9. Privacy & Confidentiality
9.1 All client data and personal information are kept strictly confidential.
9.2 We will never share, sell, or disclose Your information to third parties.
9.3 If the project involves sensitive or confidential content, additional non-disclosure agreements (NDAs) can be arranged upon request.
10. Model & Third-Party Rights
10.1 If You provide models, actors, or third-party contributors, You must ensure they have granted the necessary image usage rights.
10.2 We are not liable for any claims made by third parties regarding unauthorized usage of their likeness.
10.3 If You require models or actors, We can provide recommendations, but any agreements must be handled directly between You and the model agency.
11. General Terms
11.1 This agreement is governed by the laws of England and Wales, and any disputes will be handled within these jurisdictions.
11.2 We are not responsible for any racist, defamatory, offensive, or legally restricted material present in the final images.
11.3 Any requests to modify or amend these terms must be made in writing and agreed upon by both parties.
